Terms of Service

These Terms of Service reflect ParalegalMate’s good-faith commitments during our pre-launch phase. They are under continuous review and will be finalized by licensed counsel prior to paid customer onboarding at our July 1, 2026 general availability launch. Material changes will be communicated to active users in advance.
1. Acceptance
By accessing or using ParalegalMate (the “Service”), you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.
2. Eligibility
The Service is offered exclusively to licensed attorneys and their law firms. By creating an account, you represent that you are a licensed attorney in good standing, or an authorized paralegal, staff member, or contractor of a law firm whose attorneys are licensed and in good standing.
The Service is not offered to consumers, pro se litigants, or law students for self-representation. You are responsible for complying with the rules of professional conduct in every jurisdiction where you practice.
3. Accounts
You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us immediately at support@paralegalmate.com of any unauthorized access.
4. Subscription & Billing
The Professional plan is billed at $499 per user per month (or the then-current rate published on our website). Enterprise and Firm plans are billed per separately executed order form. Fees are non-refundable except as required by law. Subscriptions auto-renew monthly unless cancelled.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, including the unauthorized practice of law.
- Upload content you do not have the right to upload.
- Attempt to reverse-engineer, scrape, or circumvent our security.
- Use the Service to generate content intended to harass, defame, or deceive.
- Share your account credentials or allow unauthorized users access.
- Use the Service to violate the professional responsibility rules of any jurisdiction.
6. AI-Generated Content & Professional Responsibility
ParalegalMate is a tool to assist licensed attorneys. It is not a substitute for independent legal judgment.
- The Service uses artificial intelligence. AI outputs may contain errors, omissions, or hallucinations, including fabricated citations. You are solely responsible for verifying every output before use, filing, or communication to a client or court.
- No attorney-client relationship is formed between you and ParalegalMate. ParalegalMate does not provide legal advice.
- You are solely responsible for ensuring that any work product complies with the rules of professional conduct in your jurisdiction, including competence, confidentiality, supervision of non-lawyer assistants, and any obligation to disclose use of generative AI to clients or courts.
- You acknowledge that legal authority evolves. Citations returned by the Service may be superseded, overruled, or distinguishable. Independent verification through primary sources is required.
7. Your Content
You retain all ownership rights in the content you upload or generate (“Customer Content”). You grant ParalegalMate a limited license to process Customer Content solely to operate and improve the Service for you. We do not use Customer Content to train third-party foundation models.
8. Our Intellectual Property
The Service, including all software, designs, trademarks, and documentation, is owned by ParalegalMate and protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to our intellectual property except the limited right to use the Service as permitted.
9. Confidentiality
We treat Customer Content as confidential and apply the security measures described in our Privacy Policy and Data Processing Agreement. You agree to maintain the confidentiality of non-public information about the Service, including pricing terms and roadmap communications.
10. Data Processing
Our processing of personal data on your behalf is governed by our Data Processing Agreement, which is incorporated into these Terms by reference.
11. Warranties & Disclaimers
The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that AI outputs will be accurate or complete.
12. Limitation of Liability
To the maximum extent permitted by law, ParalegalMate’s total liability for any claim arising out of or relating to these Terms or the Service is limited to the fees you paid us in the 12 months preceding the event giving rise to the claim. In no event will we be liable for indirect, incidental, consequential, or punitive damages.
13. Indemnification
You will defend, indemnify, and hold harmless ParalegalMate from any claim arising from (a) your violation of these Terms, (b) your violation of any law or rule of professional conduct, or (c) your use of AI outputs without independent verification.
14. Termination
Either party may terminate at any time. You may cancel via in-app settings or by emailing support@paralegalmate.com. We may suspend or terminate accounts that violate these Terms. Upon termination, you may export your data; we delete it within 30 days thereafter.
15. Governing Law
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Exclusive venue for any dispute is the state or federal courts located in Laramie County, Wyoming.
16. Changes
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days in advance for existing customers.
